Terms of Service

By using WowETA, you confirm you have read, understood, and agree to these Terms.

These Terms of Service ("Terms") govern your use of the WowETA application ("App") provided by WPXPO ("we," "us," or "our"). By installing, accessing, or using the App, you agree to be bound by these Terms.

1. Definitions

• App: Details such as your name, email address, and Shopify store information during registration or account setup.
• User or You: Any individual or entity using the App, including Shopify store owners, administrators, or authorized personnel.
• Subscription Period: The duration of your paid access to the App, based on your selected plan.
• Effective Date: The date you begin using the App or renew your subscription or upgrade, or downgrade to a new plan.

2. Using the App

2.1 Eligibility

To use the App, you must:

• Be at least 18 years old or have the legal capacity to enter contracts.
• Have a valid Shopify account in compliance with Shopify’s Terms of Service.
• Provide accurate, complete, and up-to-date information during registration.

2.2 License

We grant you a non-exclusive, non-transferable, revocable license to use the App for your Shopify store(s) during the Subscription Period, subject to these Terms. This license is limited to the scope of your subscription plan.

2.3 Availability

We strive to maintain the App’s availability, security, and functionality but do not guarantee uninterrupted access against unforeseen issues. The App may be temporarily unavailable due to maintenance, updates, or technical issues - users may be notified of these disruptions via advanced notice if possible. We are not liable for any unexpected disruptions or losses resulting from such events that we’re unable to foresee. However, advanced notice may be provided to restore the services for uninterrupted use.

2.4 Plans and Features

• You select a subscription plan that defines feature limits, such as views, support, etc.
• You may upgrade your plan at any time; downgrades take effect immediately, and billing is prorated accordingly.
• We may offer promotional or free access, subject to clearly defined additional terms.

You agree not to:

• Use the App for illegal or unauthorized purposes.
• Attempt to access, modify, or reverse-engineer the App’s code or systems.
• Exceed the usage limits of your plan without permission.
• Share or distribute content that violates laws or third-party rights.
• Make false or harmful statements about WPXPO, its affiliates, or the App.

3. Data and Privacy

3.1 Data Processing

By using the App, you permit us to collect, process, and store data necessary for its operation, such as order details, tracking information, or customer data. Our Privacy Policy governs how we handle your data. WPXPO will be liable for data protection liabilities mentioned in the Privacy Policy.

3.2 Data Responsibility

You are responsible for the accuracy and completeness of the data you provide. We are not liable for issues caused by inaccurate or incomplete data.

4. Fees and Billing

4.1 Payment Obligations

You agree to pay the fees for your chosen subscription plan. Fees are non-refundable unless otherwise stated in these Terms or required by law. There is a 30-day return period. However, fees are non-refundable if the return period expires, and/or any illegal activities are cited, and/or any valid reason for return is found by the support team.

4.2 Billing Process

• Fees are billed in advance for each billing cycle (e.g., monthly or yearly).
• You must provide valid payment information and authorize us to charge it.
• Non-payment may result in suspension or termination of your App access or subscription access.

4.3 Renewal

Subscriptions renew automatically unless canceled through your Shopify account or by notifying us before the renewal date.

5. Intellectual Property

5.1 App Ownership

The App, including its software, design, and documentation, is owned by WPXPO or our licensors. These Terms grant you no ownership rights beyond the license described.

5.2 Your Content

You retain ownership of content you provide (e.g., store branding, product details). You grant us a worldwide, non-exclusive license to use this content solely to deliver and improve the App.

6. Termination

6.1 By You

You may stop using the App by uninstalling it from your Shopify store or canceling your subscription via your Shopify account.

6.2 By Us

We may suspend or terminate your access if you:

• Breach these Terms.
• Fail to pay applicable fees.
• Use the App in a way that harms us, other users, or third parties.

6.3 Post-Termination

Upon termination, your license to use the App ends, and you must cease all use. We may delete your data after a reasonable period, subject to our Privacy Policy.

7. Limitation of Liability

To the fullest extent permitted by law, WPXPO, our affiliates, and staff are not liable for indirect, incidental, or consequential damages arising from your use of the App, including loss of profits, data, or business.

8. Indemnification

You agree to indemnify and hold WPXPO, our affiliates, and staff harmless from claims, losses, or damages resulting from your use of the App, breach of these Terms, or violation of third-party rights.

9. Changes to Terms

We may revise these Terms by posting updates on our website. Changes take effect upon posting or on a specified date. Your continued use of the App after changes indicates acceptance.

10. Support and Contact

10.1 Support Services

We provide support via email or chat. Response times vary, with priority given to critical issues (e.g., login errors, outages).

10.2 Communications

By providing your email, you agree to receive App-related notices (e.g., billing, updates). You may opt into marketing emails and unsubscribe anytime via the email’s instructions.

11. Governing Law and Disputes

These Terms are governed by the laws of Bangladesh, without giving effect to its conflict of laws provisions.

12. Miscellaneous

12.1 Entire Agreement

These Terms and our Privacy Policy constitute the full agreement between you and WPXPO regarding the App.

12.2 Severability

If any term is found unenforceable, the remaining terms remain effective.

12.3 No Waiver

Our failure to enforce a term does not waive it.

12.4 Assignment

You may not assign these Terms or your App rights without our written consent. We may assign them at our discretion.
